Terms of Service

1. Definitions

• "We", "us", "our" — Theta, the provider of the Service.
• "You", "your", "Customer" — the person or entity using the Service.
• "Panel" or "Site" — a hosted control panel and public website we provision for your game server.
• "Game Database" — your FiveM server database, which you may connect to a Panel on a read-only basis.
• "Content" — data, text, logos, and materials made available through the Service.

2. Eligibility

To purchase or manage a subscription you must be at least 18 years old (or the age of majority in your country) and legally able to enter into a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms.

3. The Service

Theta provides software and hosting for control panels and public websites used to manage FiveM roleplay communities. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own community during your active subscription.

We may add, change, or remove features at any time. We are a software and hosting provider; we do not operate your game server and are not responsible for it.

4. Accounts and sign-in

You sign in using a third-party identity provider (such as Discord or Google). You are responsible for keeping that account and any staff access secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

You are responsible for the roles and permissions you grant to your staff within a Panel.

5. No affiliation with FiveM, Cfx.re, or Rockstar

Theta is an independent product. We are not affiliated with, endorsed by, or sponsored by Cfx.re, FiveM, Rockstar Games, Take-Two Interactive, or any of their affiliates. All trademarks belong to their respective owners.

You are solely responsible for ensuring your use of your game server, the Panel, and any connected data complies with the terms of FiveM, Cfx.re, Rockstar Games, and any other applicable platform. We are not responsible for any action taken against your server or accounts by those parties, including suspensions or bans.

6. Your server and your data

You retain ownership of your Game Database and the content within it. By connecting a Game Database, you grant us the limited access necessary to operate the Panel — which is read-only. The Panel does not write to your Game Database.

You represent and warrant that you have all rights and consents necessary to connect that data and to allow its display in the Panel, including any consent required from your players or members. You are the party responsible (the "controller") for the personal data of your players; we act only as a processor on your behalf. See our Privacy Policy.

7. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination without refund.

8. Fees and payment

Prices are shown before purchase. Payment is currently made by manual bank transfer. Your subscription is activated only after we confirm receipt of your payment; submitting a payment claim does not by itself grant access.

You are responsible for any taxes, bank fees, or currency-conversion charges associated with your payment. Prices may change; changes do not affect an already-active term but apply on the next renewal.

9. Subscriptions, renewals, and expiry

Subscriptions run for the term you select (for example monthly, quarterly, semi-annual, or annual). Renewal is manual — you choose to renew by making a new payment. There is no automatic recurring charge.

If a subscription is not renewed before it ends, the Panel may be suspended and later removed. We may retain your data for a limited period to allow reactivation, after which it may be permanently deleted (see the Privacy and Refund policies).

10. Refunds

Refunds are governed by our Refund and Cancellation Policy, incorporated into these Terms by reference.

11. Intellectual property

The Service, including its software, design, and Theta branding, is owned by us and protected by law. These Terms grant you a license to use the Service, not any ownership of it. You may not copy, resell, sublicense, reverse-engineer, or create derivative works from the Service except as expressly permitted.

You retain ownership of your own content (your logo, colors, text, and data). You grant us the limited license needed to host and display that content within your Panel.

12. Availability and "as is" service

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, updates, or events outside our control (including failures of third-party providers such as identity, hosting, or network services).

The Service is provided "as is" and "as available", without any uptime or performance guarantee unless a separate written service-level agreement says otherwise.

13. Suspension and termination

We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, fail to pay, or if required to protect the Service, other customers, or comply with the law.

You may stop using the Service at any time by not renewing. On termination, your right to use the Service ends, and your Panel and associated data may be deleted after a reasonable period. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Disclaimer of warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be secure, or be free of errors or interruptions, or that any data displayed is accurate or complete.

15. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to the Service.

Our total liability for any claim arising out of or related to the Service will not exceed the total amount you paid to us for the Service during the three (3) months immediately before the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content or Game Database, your violation of these Terms or any law, or your infringement of any third-party right.

17. Third-party services

The Service relies on third parties (for example Discord for sign-in and notifications, and hosting and infrastructure providers). Your use of those services is subject to their own terms, and we are not responsible for their acts, omissions, or availability.

18. Changes to the Service and Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date, and material changes may be announced through the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-laws rules. You agree that the competent courts of the Kingdom of Saudi Arabia will have jurisdiction over any dispute, unless mandatory local consumer law grants you rights in your own country.

20. General

• If any provision is found unenforceable, the rest remains in effect.
• Our failure to enforce a right is not a waiver of it.
• You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
• Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure).
• These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Service.
